1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and pick2pay ("Company," "we," "us," or "our") governing your access to and use of the pick2pay website, application, and services (collectively, the "Service").
By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
pick2pay is a payment link aggregation platform that allows users to:
- Create a personalized profile page displaying multiple payment options
- Generate a single shareable link and QR code for receiving payments
- Aggregate payment methods including Venmo, Zelle, Cash App, and PayPal
- Customize and manage payment option visibility
Important: pick2pay does not process payments, hold funds, or act as a financial intermediary. We simply redirect visitors to your chosen payment platforms. All transactions occur directly between you and your payer through third-party payment services.
3. Eligibility
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable laws
- Have valid accounts with the payment services you wish to link
By using the Service, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your login credentials secure and confidential
- Immediately notify us of any unauthorized access to your account
4.2 Account Responsibility
You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes. You must NOT use pick2pay to:
- Receive payments for illegal goods, services, or activities
- Facilitate fraud, money laundering, or financial crimes
- Violate the terms of service of linked payment platforms
- Collect payments for prohibited items (weapons, drugs, counterfeit goods, etc.)
- Impersonate another person or entity
- Create multiple accounts to circumvent restrictions or bans
- Scrape, harvest, or collect data from other users without consent
- Interfere with or disrupt the Service or its infrastructure
- Upload malicious code, viruses, or harmful content
- Use the Service in any way that could harm minors
- Engage in any activity that violates applicable laws or regulations
6. Third-Party Payment Services
6.1 Third-Party Terms
Your use of payment services (Venmo, Zelle, Cash App, PayPal, etc.) is governed by their respective terms of service and privacy policies. You are responsible for:
- Complying with all terms and conditions of linked payment services
- Maintaining valid accounts with those payment providers
- Understanding and accepting the fees charged by payment services
6.2 No Liability for Third Parties
pick2pay is not responsible for:
- Payment disputes, chargebacks, or failed transactions
- Changes to third-party payment service terms, fees, or availability
- Loss of funds due to payment service issues
- Account suspension or termination by payment providers
7. Fees and Subscriptions
7.1 Free and Premium Services
pick2pay offers both free and premium subscription tiers. Premium features may include additional customization options, analytics, and enhanced functionality.
7.2 Billing
If you subscribe to a premium plan:
- Billing occurs automatically at the start of each billing cycle
- Subscription fees are non-refundable except as required by law
- You may cancel your subscription at any time; access continues until the end of the billing period
- We reserve the right to change pricing with 30 days advance notice
7.3 Payment Processing
Subscription payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service and authorize us to charge your payment method.
8. Intellectual Property
8.1 Our Intellectual Property
The Service, including its design, features, code, content, and branding, is owned by pick2pay and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8.2 Your Content
You retain ownership of content you upload (profile pictures, display names). By using the Service, you grant us a limited, non-exclusive license to display your content as necessary to operate the Service.
8.3 Username Policy
Usernames are assigned on a first-come, first-served basis. We reserve the right to reclaim usernames that:
- Violate trademarks or intellectual property rights
- Are misleading, offensive, or inappropriate
- Have been inactive for an extended period
- Are being squatted or held in bad faith
9. Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE
You use the Service at your own risk. We do not guarantee that the Service will meet your requirements or be available at all times.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICK2PAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA
- DAMAGES ARISING FROM THIRD-PARTY SERVICES OR PAYMENT PLATFORMS
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless pick2pay and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit or transactions you conduct through the Service
13. Termination
13.1 Termination by You
You may delete your account at any time through your account settings or by contacting us. Upon termination, your profile and payment links will be immediately deactivated.
13.2 Termination by Us
We may suspend or terminate your account at any time, with or without cause, including for:
- Violation of these Terms or our policies
- Suspected fraudulent, illegal, or harmful activity
- Extended periods of inactivity
- Requests from law enforcement or government agencies
- Discontinuation of the Service
13.3 Effect of Termination
Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive (including liability limitations, indemnification, and dispute resolution).
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending an email notification to your registered email address
- Displaying a notice within the Service
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15.2 Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through:
- Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us.
- Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association rules.
- Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and pick2pay regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
- Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
